Miamivit Software, its affiliates and subsidiaries (collectively "Miamivit", "we", "us" or "our") provide these Terms of Use, which apply when you visit www.Miamivit.com and/or other websites owned or controlled by Miamivit ("Site", "Sites"). By browsing any Site or using the services available on the Sites ("Services"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use and our accompanying Privacy Policy (available on the website), and to comply with all applicable laws and regulations. If you do not agree to these Terms of Use, you are not permitted to browse, access, or otherwise use the Sites or Services. Except for the terms specified under the heading "Export Classifications," these Terms of Use apply only to the Sites and do not apply to the purchase or use of our Products, which are governed by separate agreements.

Miamivit assumes no responsibility for the accuracy of the Content provided by Miamivit, and your use of such Content is at your own risk. Miamivit makes no guarantee that any reported problem can be resolved by using any Content provided by Miamivit.

User Submissions

Miamivit does not seek to receive any confidential or proprietary Content from you through our Sites. Please note that any Content submitted to Miamivit or published on the Sites WILL NOT be confidential. By submitting Content to Miamivit or publishing Content on the Sites, you grant Miamivit an unrestricted, irrevocable, perpetual, royalty-free, fully paid, transferable, and sublicensable right and license to use, reproduce, display, perform, modify, transmit, create derivative works from, distribute, and otherwise utilize such Content. You also acknowledge that Miamivit is free to use any ideas, concepts, know-how, or techniques you submit to us for any purpose.

Community Guidelines

Like any community, our community functions best when users adhere to a few simple rules. By accessing the Sites and/or using the Services, you agree to abide by these community guidelines ("Community Guidelines") and agree to:

Use the Sites or Services for any unlawful purpose;

Use the Sites or Services to engage in any commercial activity, including but not limited to advertising or promoting a product, service, or company, or participating in any pyramid or other multi-level marketing scheme;

Use the Sites or Services to conduct any market research for a competing business;

Use any Content that includes:

False, misleading, deceptive, deceptive, misinformative, or constitutes a "bait and replace" offer;

You will not cover, hide, block, or otherwise obstruct any security features on the Sites (e.g., the abuse report button);

You will not engage in any action that places, or may place, an unreasonable or disproportionately large burden on our technical infrastructure (in our sole discretion);

You will not use spiders, robots, crawlers, data mining tools or similar automated tools to download or collect data from the Sites, except for internet search engines (e.g. Google) and non-commercial public archives compliant with our robots.txt file (e.g. archive.org);

You will not use any automated device or software that enables the posting of automated posts on the Sites without human intervention or authorship. The use of such automated posting devices, including but not limited to their use in connection with bulk posting or for the automatic posting of posts at specific times or intervals, is prohibited.

You will not interfere with or attempt to disrupt the proper operation of the Sites or Services by using any virus, device, information gathering or transmission mechanism, software or routine. Furthermore, you will not attempt to access or obtain any data, files or passwords related to the Sites or Services by hacking, password or data mining or any other method.

Please report any inappropriate content to us. If you find anything that violates our Community Guidelines, please report it to us so we can investigate. We reserve the right, in our absolute discretion, to deny any person access to the Sites or any part of the Services without prior notice and to remove any Content that violates these rules.

Furthermore, a link to a non-Miamivit site does not imply that Miamivit endorses or accepts any responsibility for the content or use of that site. It is up to you to take necessary precautions to ensure that the site you choose to use is free from viruses, worms, Trojans, and other destructive elements.

Disclaimer, Limitation of Liability, Indemnification

Miamivit, its affiliates, and their directors, officers, employees, and agents (collectively, "Miamivit Parties") disclaim all warranties, including but not limited to, those of ownership, merchantability, non-infringement of third-party rights, and fitness for a particular purpose, and all warranties arising from a particular order of business or use of the Sites, Services, Products, Programs, or Content. The Sites, Services, Products, Programs, and Content are provided "as is" and "as available" without any warranty of any kind. You agree to use the Sites, Services, Products, Programs, and Content entirely at your own risk. No advice, conclusion, or information you obtain from us or through the Sites or Services, whether verbally or in writing, constitutes any warranty not expressly stated herein. Neither Miamivit nor any of its parties shall be held liable for any damage or virus to your computer equipment or other property that may occur as a result of your access to or use of the Sites, Services, Products, Programs, or Content. If you are not satisfied with the Sites, Services, Products, Programs, or Content, your only solution is to cease using the Sites.

In no event shall either Miamivit Party be liable for any damages (including, without limitation, incidental and indirect damages, loss of profits or damages from business interruption) arising from your use or inability to use the Sites, Services, Products, Programs or Content, whether based on warranty, contract, tort (including negligence) or any other legal theory, even if Miamivit Parties have been notified of the possibility of such damages. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR DIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES; THEREFORE, THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO (I) ONE HUNDRED DOLLARS OR (II) THE LOWEST AMOUNT PERMITTED BY APPLICABLE LAW.

(i) your use of and access to the Sites, Services, Products, Programs, and/or Content; (ii) your breach of any provision of these Terms of Use and/or our Privacy Policy; and/or (iii) you agree to defend, indemnify, and hold harmless Miamivit against all third-party claims, damages, liabilities, and expenses (including attorneys' fees) arising from any infringement of any third-party rights by you. This defense and indemnification obligation will remain in effect even if these Terms of Use are terminated, modified, or expire.

Website Monitoring

While Miamivit has no such obligation, Miamivit expressly reserves the right to view, monitor, and record activity on the Sites without your knowledge or consent. All information obtained through monitoring, review, or recording will be reviewed by law enforcement agencies in connection with the investigation or prosecution of possible illegal activity on the Sites. Miamivit will also comply with all court orders and all law enforcement and regulatory investigations in which such information is requested. Miamivit reserves the right, at its sole discretion, for any reason or no reason, to remove or modify any Content or any other element of the Sites or Services without notice or consent from you.

All Miamivit products and services listed on the Sites are, or may be, registered trademarks or trademarks of Miamivit Software in the United States and/or other countries. All other products and services listed on the Sites are, or may be, registered trademarks or trademarks of their respective owners in the United States and/or other countries. You may not use any trademark appearing on the Sites without the prior permission of Miamivit or its rights holder.

Account Information

To access certain areas of the Sites, Services, or Content, you must create an account associated with a valid email address. You agree that your account information will always be complete, accurate, and up-to-date. It is your responsibility to keep your account password or login information confidential at all times, and you are solely responsible to Miamivit for all activity that occurs under, through, and/or in connection with your account. You agree to inform Miamivit by contacting us if you become aware of any unauthorized use of your account or account information, or any other security breach. Miamivit may request that you change your account information or parts of your account information at any time and for any reason.

Applicable Law and Jurisdiction

These Terms of Use shall be construed and enforced solely in accordance with the laws of the State of Massachusetts, United States of America, without regard to conflict of laws principles. You expressly agree that any legal or equitable action arising from or directly or indirectly relating to these Terms of Use or the Sites shall be brought only in a state or federal court in Boston, Massachusetts, USA, and you agree and represent that Miamivit Sites shall be subject to the personal jurisdiction of such courts for the purposes of any action and out-of-district service of process relating to your access to or use of the Sites or these Terms of Use.

Export Classifications

Notwithstanding any provision to the contrary, you expressly agree not to use, distribute, export, or re-export any Miamivit Software (including Products) obtained through the Sites, Services, Content, Programs, or Sites or Services to any country, person, entity, or end-user subject to U.S. export restrictions. You specifically agree not to export, re-export, or transfer any part (or any portion) of any Miamivit Software obtained through the Sites, Services, Content, Programs, or Sites or Services to any country where the U.S. embargoes or restricts the export of goods or services (including, but not limited to, any country listed in U.S. Export Administration Regulation Country Group E-1). You specifically agree not to export, re-export, or transfer the Products to any citizen of any country intending to return or transport the Products to that country, or to any person or entity prohibited by any federal agency of the U.S. government from participating in U.S. export operations. You warrant and represent that the U.S. Bureau of Industry and Security, the U.S. Department of Commerce, or any other federal agency has not suspended, revoked, or denied your export privileges.
